"Der Beitrag untersucht die spezifische Situation von Vertretern leitender Angestellter im Aufsichtsrat über die bisher kaum empirische Studien vorliegen. Dabei stehen drei Fragen im Zentrum: Wie verorten sich die leitenden Angestellten als eigenständige rechtliche und soziale Gruppe im Aufsichtsrat, welche Stellung nehmen sie im Wissens- und Kommunikationssystem des Gremiums ein und wie bewerten sie die Unternehmensmitbestimmung? Die empirischen Befunde basieren auf einer Untersuchung unter leitenden Angestellten im Aufsichtsrat, die von den Autoren im September 2004 durchgeführt wurde. Aus den Ergebnissen der Untersuchung lassen sich vor dem Hintergrund der aktuellen Diskussion um die 'Modernisierung' des deutschen Mitbestimmungssystems Aussagen über Stärken und Schwächen in den Kommunikations- und Wissensstrukturen deutscher Aufsichtsräte ableiten und bislang noch offene Fragen zum Reformbedarf von Aufsichtsratsprozessen beantworten." "The article focuses on the specific situation of representatives of executive managers in supervisory boards on which there have been almost no empirical studies to date. Three main questions are pursued: how do the executive managers as a distinct legal and social group locate themselves in the committee, which position do they take in the knowledge and communication system of the supervisory board, and how do they evaluate the co-determination system at the company level? The empirical findings relate to a survey of representatives executive managers in German supervisory boards carried out by the authors in September 2004. From the results of the survey, the article considers strengths and weaknesses in the communication and knowledge structures of German supervisory boards, and it poses questions concerning the reform requirements of work processes in connection with the recent discussion about the modernisation of the German co-determination system."
